SynxDB CE — Terms of Use

1. Acceptance
By downloading, installing, or using SynxDB CE — the Community Edition (the "Software"), you agree to these Terms of Use ("Terms"). If you do not agree, do not download, install, or use the Software. The version of these Terms effective at the time you click "I accept" is the version that governs your use of the Software.
These Terms are presented in two ways:
- A click-through pop-up at the SynxDB CE download page on synxdata.com — affirmative acceptance is required before download.
- A copy of these Terms as
TERMS-OF-USE.mdshipped inside every RPM and DEB package, so you can read them locally any time.
If you accept on behalf of an organization, you represent that you have authority to bind that organization to these Terms. References to "you" mean the individual user or the organization, as applicable.
These Terms are a binding agreement between you and Synx Data Labs, Inc. ("Synx Data Labs," "we," or "us"), a California corporation. References to "Synx Data Labs" mean Synx Data Labs, Inc.; the standalone word "Synx" is not used as a short form for the company in these Terms because it is a third-party trademark.
2. The Software
SynxDB CE is a free, open-source binary distribution of Apache Cloudberry (Incubating), packaged by Synx Data Labs as RPM and DEB packages installable on glibc-compatible Linux distributions.
The Software consists of:
- The upstream Apache Cloudberry (Incubating) source code, licensed under the Apache License 2.0
- Modifications, packaging, and build infrastructure contributed by Synx Data Labs, also licensed under the Apache License 2.0
- Documentation accompanying the Software
Built from Apache Cloudberry (Incubating). Apache, Cloudberry, and Apache Cloudberry are trademarks of the Apache Software Foundation.
3. License Grant
The Software is licensed to you under the Apache License 2.0.
The full text of the license is included in every Software package as the file
LICENSE and is available at
apache.org/licenses/LICENSE-2.0.
Subject to the trademark restrictions in Section 4 and the disclaimers in Sections 5–7, you have the rights granted by Apache License 2.0, including:
- Use of the Software for any purpose, including commercial purposes
- Reproduction and distribution of the Software, in source or binary form
- Modification of the Software and distribution of derivative works
- Sublicensing under the Apache 2.0 terms
4. Trademarks
Apache 2.0 grants broad rights to the code. It does not grant rights to use Synx Data Labs' or the Apache Software Foundation's trademarks. This Section governs trademark use; nothing here restricts your code-level Apache 2.0 rights.
4.1 SynxDB trademarks
The product names "SynxDB," "SynxDB CE," "SynxDB Cloud," the SynxDB logo, and any associated packaging trade dress (collectively, the "SynxDB Marks") are trademarks of Synx Data Labs Inc. You may use the SynxDB Marks only as follows:
- Permitted: factual reference. You may use the SynxDB Marks to factually identify the Software (e.g., "compatible with SynxDB CE," "based on SynxDB CE," "ships SynxDB CE binaries").
- Permitted: unmodified redistribution. You may redistribute unmodified Software packages and identify them as "SynxDB CE."
- Not permitted: distribution of modified Software under a SynxDB Mark. You may not distribute a modified version of the Software using the name "SynxDB," "SynxDB CE," or any name reasonably likely to be confused with them. Forks must rename.
- Not permitted: product, package, repository, or service names. You may not use the SynxDB Marks in the name of any product, package, repository, hosted service, or marketing campaign that is not authorized by Synx Data Labs.
- Not permitted: claims of endorsement. You may not represent any modified version, third-party offering, or service as endorsed by, certified by, or affiliated with Synx Data Labs.
The trademark protection in this Section covers the SynxDB mark family only. The standalone word "Synx" is not claimed as a Synx Data Labs trademark and is not subject to this Section.
4.2 Apache Software Foundation trademarks
"Apache," "Apache Cloudberry," "Cloudberry," and the Apache feather logo are trademarks of the Apache Software Foundation. Your use of these marks is governed by the ASF Trademark Policy at apache.org/foundation/marks. Synx Data Labs does not grant any rights to ASF trademarks.
5. Disclaimer of Warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SYNX DATA LABS MAKES NO WARRANTY THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.
This disclaimer is consistent with Apache License 2.0 Section 7 and is repeated here for clarity. The DISCLAIMER file shipped with the Software (which discloses Apache Cloudberry's Apache Incubator status) is incorporated by reference.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SYNX DATA LABS, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THESE TERMS, EVEN IF SYNX DATA LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE SOFTWARE IS PROVIDED FREE OF CHARGE. SYNX DATA LABS' AGGREGATE LIABILITY UNDER THESE TERMS IS LIMITED TO US$0.
7. Indemnification
7.1 No indemnification by Synx Data Labs
The Software is provided free of charge with no support obligation. Synx Data Labs does not indemnify you against any third-party claims, including but not limited to intellectual property infringement claims relating to the Software. You assume all risk arising from your use of the Software.
7.2 Indemnification by you
You will indemnify, defend, and hold harmless Synx Data Labs and its officers, directors, employees, and agents (the "Indemnified Parties") from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- your use of the Software in violation of these Terms or applicable law;
- your distribution of the Software in violation of Section 4 (Trademarks), including any use of the SynxDB Marks not permitted by Section 4.1;
- your combination of the Software with other software, data, hardware, or services in a way that gives rise to a claim against an Indemnified Party that would not have arisen from the Software standing alone; or
- any data, content, or other materials you process, store, or transmit through the Software, including any claim that such data violates the privacy, intellectual property, or other rights of a third party.
The Indemnified Parties will: (i) promptly notify you of any claim for which we seek indemnification; (ii) reasonably cooperate with your defense at your expense; and (iii) not settle any claim without your prior written consent (not to be unreasonably withheld). You may control the defense and settlement, provided that any settlement releases the Indemnified Parties unconditionally and does not require the Indemnified Parties to admit liability or take any action.
8. Privacy
If you provide contact information to Synx Data Labs (for example, by completing a download signup form), Synx Data Labs handles your information in accordance with the Synx Data Labs Privacy Notice. The Privacy Notice describes our role as the data controller, the lawful basis for processing, retention periods, and how you can exercise rights under applicable privacy laws (GDPR, CCPA, and others).
The signup form is operated through HubSpot, our processor. HubSpot handles the technical mechanics of consent capture (cookie banners, opt-in flows, suppression lists) under our direction; Synx Data Labs is the data controller and is responsible for the content of the Privacy Notice and for honoring user rights.
The Software itself does not transmit user data to Synx Data Labs in the course of normal operation. Telemetry is disabled by default.
9. Term and Termination
These Terms apply for as long as you use the Software.
These Terms terminate automatically if you materially breach them, including by violating the trademark restrictions in Section 4. Upon termination, you must stop using the SynxDB Marks; your Apache 2.0 rights to the code itself survive in accordance with Apache License 2.0.
Sections 4 (trademarks), 5 (warranty disclaimer), 6 (limitation of liability), 7 (indemnification), 10 (governing law), and 11 (miscellaneous) survive termination.
10. Governing Law and Dispute Resolution
These Terms are governed by the internal laws of the State of California, without giving effect to any choice or conflict-of-law provision or rule. Any legal suit, action, or proceeding arising out of or relating to these Terms or the Software shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in the City of Sacramento and County of Sacramento, and each party irrevocably submits to the exclusive jurisdiction of such courts.
11. Miscellaneous
Entire Agreement. These Terms (together with the Apache License 2.0 text and the Privacy Notice) are the entire agreement between you and Synx Data Labs regarding the Software.
Changes. Synx Data Labs may update these Terms from time to time. Material changes will be announced at synxdata.com. Continued use of the Software after a change constitutes acceptance of the updated Terms.
Severability. If any provision is held invalid, the remainder stays in effect.
No Waiver. Failure to enforce any provision is not a waiver.
Assignment. You may not assign these Terms without Synx Data Labs' written consent. Synx Data Labs may assign these Terms to a successor entity (e.g., in connection with a merger or acquisition) without consent.
